تعیین مکانیسم های حاکمیت شرکتی در سرمایه‌گذاری مشترک بین‌المللی و شناسایی عوامل موثر بر آنها

چکیده

هدف: از آنجایی که تاکنون در مورد چیستی مکانیسم هایی حاکمیت شرکتی در سرمایه گذاری های مشترک بین المللی و همچنین چیستی عوامل موثر بر کم وکیف مکانیسم های مذکور پژوهش جامعی صورت نگرفته است، در نتیجه این مقاله سعی دارد تا عوامل مؤثر بر شکل‌گیری حاکمیت شرکتی در تشکل‌های یاد شده و همچنین مکانیسم ‏های حاکمیت شرکتی متناسب را شناسایی نماید.
روش: مرور نظام مند روش تحقیقی است که به منظور دستیابی به هدف فوق مورد استفاده قرار گرفته و از طریق آن، 400 پژوهش استخراج شده که از میان آنها 38 مقاله مورد بررسی عمیق قرار گرفته اند.
یافته ها: در نهایت نیز با استفاده از روش تحلیل مضمون و ابزار کد گذاری باز، 11 مکانیسم حکمرانی که در سرمایه گذاری مشترک بین المللی کاربرد دارند و همچنین 16 عامل که بر کم و کیف عوامل شناسایی شده تاثیر دارند، به همراه تببین نحوه این اثر گذاری، شناسایی شدند.
نتایج: در نهایت نیز این نتیجه بدست آمد که عواملی از قبیل جنس کسب و کار والدین، صنعت شرکا و همچنین مقتضیات کشور میزبان به بر کم یا زیاد شدن مکانیسم‌های شناسایی شده تاثیر‌گذار خواهند بود.

چکیده [English]

Objective: The lack of a research which determined corporate governance mechanisms and recognized the factors which have effect on them makes us to write this article to recognize the mechanisms which are compatible with the nature of international joint ventures structure and determine the factors which have influence the specified mechanism and form them.
Methodology: For attaining to above objective, a systematic literature review (SLR) executed and 400 articles extracted and 38 of them, analyzed deeply and systematically (thematic analysis technique and open coding method have been exploited as the analyzing tools, as well).
Findings: Recognition of 11 corporate governance mechanisms, 16 factors which have effect on their presence and the visual illustration of mentioned results, are the findings of this article.
Conclusion: Meanwhile, the filed of activity and industry of the parents, further to the circumstance of the host country, can increase / decrease the number of determined mechanisms.
